Please read these Terms of Service ("Terms") carefully before using the Forbiddance platform operated by Forbiddance, Inc. ("we", "our", or "us"). By accessing or using the service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using any part of the Forbiddance service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
2. Service Description
Forbiddance is a cloud-based compliance automation platform that helps organizations prepare for SOC 2 audits by tracking controls, managing policies, collecting evidence, and providing AI-powered guidance. The service is provided on a subscription basis and accessed via the web at forbiddance.io.
3. Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate and complete registration information and keep it up to date.
- You must promptly notify us at support@forbiddance.io if you suspect unauthorized access to your account.
- Each set of credentials may only be used by one individual. Sharing credentials across multiple people is not permitted.
4. Acceptable Use
You agree not to use Forbiddance to:
- Violate any applicable law, regulation, or third-party rights.
- Upload, transmit, or store malicious code, malware, or harmful content.
- Attempt to probe, scan, or test the vulnerability of the service or circumvent any security measures.
- Reverse-engineer, decompile, or disassemble any portion of the service.
- Use the service to build a competing product or to benchmark against a competitor without our written consent.
5. Intellectual Property
Your data is yours. You retain full ownership of all compliance data, policies, evidence files, and other content you create or upload within Forbiddance. By uploading content, you grant us a limited license to store, process, and display it solely for the purpose of providing the service to you.
The Forbiddance platform, including its software, design, trademarks, and underlying technology, is owned by Forbiddance, Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you a right to use our name, logo, or trademarks without prior written permission.
6. Subscription and Billing
- Forbiddance is offered on a monthly or annual subscription basis. Pricing is displayed on the pricing page and in your account settings.
- Subscriptions auto-renew unless cancelled before the renewal date via the billing portal in your account settings.
- All fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement.
- We reserve the right to change pricing with 30 days' notice. Continued use of the service after the effective date constitutes acceptance of the new pricing.
- Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
7. Limitation of Liability
To the maximum extent permitted by law, Forbiddance, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the service.
Our total cumulative liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.
8. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Forbiddance does not warrant that the service will be uninterrupted, error-free, or free of harmful components. AI-generated content (policy drafts, gap assessments) is provided for informational purposes only and does not constitute legal or compliance advice.
9. Termination
You may cancel your account at any time through the account settings page. Cancellation takes effect at the end of the current billing period.
We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to access the service ceases and your data will be deleted in accordance with our data retention policy.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
